Our aim is to build long-term relationships with retailers who share our appreciation for thoughtfully designed, quality products and exceptional customer service. The following Terms & Conditions apply to all wholesale orders placed with Heaven in Earth.

By placing an order with Heaven in Earth, you acknowledge that you have read, understood and agree to these Terms & Conditions.

Minimum Order Values

• New wholesale customers: Minimum opening order of $400 AUD (excluding GST, shipping and pre-order items).

• Existing wholesale customers: Minimum order of $250 AUD (excluding GST, shipping and pre-order items).

Heaven in Earth reserves the right to amend minimum order values at any time.

Payment Terms

A 30% non-refundable deposit is required to confirm and secure your order.

Once your order has been packed, a final invoice will be issued including freight charges. Full payment is required before your order will be dispatched.

If the outstanding balance remains unpaid for more than 14 days from the date of the final invoice, Heaven in Earth reserves the right to cancel the order and retain any deposit paid.

Payment Methods

We accept payment by:

• Direct Deposit

• Visa

• Mastercard

Credit card payments incur a 1% processing fee.

Payments made through the MYOB Pay Securely link incur a 1.8% processing fee.

New Zealand customers: Payment is accepted by direct deposit only.

Shipping & Freight

Freight charges are calculated after your order has been packed and are based on whichever is greater:

• Actual weight

• Volumetric (DIM) weight

We always endeavour to use the most economical freight option available while ensuring your order arrives safely.

If you have a preferred freight carrier or specific delivery instructions, these must be confirmed with us before payment of your deposit.

Freight charges are payable prior to dispatch.

Delivery timeframes provided by freight companies are estimates only.

Product Availability

All orders are subject to stock availability.

While every effort is made to fulfil orders in full, product availability may change between receipt of your deposit and packing due to:

• Stock availability

• Supplier delays

• Approved postcode exclusivity

• Inventory adjustments

Heaven in Earth reserves the right to amend order quantities where products become unavailable.

Back Orders

Items unavailable at the time of packing will automatically be placed on back order and will appear on your final invoice.

The applicable minimum order value must be met excluding back ordered items. If the value of goods available for immediate supply falls below the minimum order requirement, Heaven in Earth reserves the right to:

• hold the order until sufficient stock becomes available;

• amend the order; or

• cancel the order at its discretion.

Standard freight charges apply to all back orders.

Customers may cancel back ordered items when the final invoice is issued.

Christmas Orders

Due to the seasonal nature of Christmas stock:

• A 30% non-refundable deposit is required.

• Christmas orders are packed in the order deposits are received.

• Early ordering is recommended to avoid disappointment.

Delivery

Every effort is made to dispatch orders promptly and carefully.

Upon delivery, customers are responsible for ensuring:

• All cartons have been received.

• Cartons are checked before signing for delivery.

• Any visible damage is noted with the freight carrier.

Heaven in Earth cannot accept responsibility for freight claims once deliveries have been signed for without notation.

Damaged or Incorrect Goods

Any goods received damaged or supplied incorrectly must be reported within seven (7) days of delivery.

Please email:

• Your invoice number

• Clear photographs of the damaged goods

• Photographs of the external packaging where applicable

Claims received after seven days may not be accepted.

Pricing

Prices are subject to change without prior notice.

Quoted prices remain valid only until the quotation expiry date (where applicable).

All prices are in Australian Dollars (AUD).

GST is additional unless otherwise stated.

Product Descriptions & Images

We make every effort to accurately display product descriptions, dimensions and colours.

As many of our products are handmade or produced using natural materials, slight variations are considered part of their unique character.

Please note that:

• Timber grain and finishes will vary.

• Natural fibres vary in colour.

• Brush prints and markings may differ between production runs.

• Colours displayed on screens may differ slightly from the actual product.

These variations do not constitute faults.

Online Sales Policy

Products supplied by Heaven in Earth may not be sold on:

• Amazon

• eBay

• Temu

• Catch

• Facebook Marketplace

• or any other third-party marketplace platform

without prior written approval from Heaven in Earth.

Retailers may sell products through their own physical retail stores and their own branded websites.

Postcode Exclusivity

Eligible retailers may apply for postcode exclusivity.

Exclusivity:

• is granted solely at the discretion of Heaven in Earth;

• applies for a period of four (4) months;

• requires a minimum wholesale spend of $1,500 AUD (excluding GST and freight) during the exclusivity period.

If the minimum spend is not achieved, Heaven in Earth reserves the right to remove exclusivity without notice.

Exclusivity does not apply to:

• Online stores

• Collective retail stores

• Markets

• Pop-up stores

• Temporary retail locations

Approval of exclusivity does not guarantee exclusivity will continue beyond the initial term.

Retention of Title

Ownership of all goods supplied by Heaven in Earth remains with Heaven in Earth until payment has been received in full.

Risk in the goods passes to the customer upon delivery.

Force Majeure

Heaven in Earth will not be liable for any delay or failure to fulfil its obligations where such delay or failure results from circumstances beyond our reasonable control.

These circumstances include, but are not limited to:

• Supplier shortages

• Shipping delays

• Freight disruptions

• Industrial action

• Natural disasters

• Government restrictions

• Pandemics

• Acts of God

• Other unforeseen events

We will make every reasonable effort to minimise delays and keep customers informed.

Intellectual Property

All photographs, product descriptions, logos, branding, graphics and website content remain the intellectual property of Heaven in Earth unless otherwise stated.

Approved wholesale customers are welcome to use our supplied marketing images and product descriptions solely for the purpose of promoting Heaven in Earth products.

Content may not be altered, reproduced or distributed for any other purpose without prior written permission.

Limitation of Liability

To the maximum extent permitted by law, Heaven in Earth's liability is limited to the replacement, repair or refund of goods supplied by Heaven in Earth.

Heaven in Earth will not be liable for indirect, consequential or incidental losses arising from the use or resale of our products.

Nothing in these Terms & Conditions excludes any rights available under the Australian Consumer Law.

Amendments

Heaven in Earth reserves the right to update or amend these Terms & Conditions at any time without prior notice.

The Terms & Conditions in effect at the time an order is placed will apply to that order.
